Business Description.

Inditherm plc was formed in 1998 to exploit its patented flexible heating technology (known as Inditherm). 

In December 2001 the group floated on the London Stock Exchange (AIM), raising £3.4m to fund expansion of the business. In July 2002 the Company relocated to new premises on the Houndhill Business Park in Manvers near Rotherham. The new premises enabled rapid expansion of manufacturing facilities from 250 m2 to 1,500m2.

In 2003, Inditherm raised a further £5 million for expansion from a public offering.

In January 2007 Inditherm re-financed and strengthened its Balance Sheet by way of a Placing of 30,000,000 new ordinary shares, increasing the Company’s issued share capital to 51,112,581 Ordinary Shares and the Group’s cash resources to £4,567k immediately after the Placing.

On 26 May 2015, Inditherm Plc announced a proposed share consolidation whereby 10 existing 1p ordinary shares were converted to one 10p ordinary share.  The acquisition of Inspiration Healthcare Ltd, by way of issuing new share to Inspiration Healthcare Ltd shareholders in the ratio of five shares for every one Inditherm plc share.  This acquisition was deemed to be a reverse takeover under the AIM rules and was approved by Inditherm shareholders at a General Meeting on 23 June 2015.  Shareholders also approved the change of name to Inspiration Healthcare Group plc.

Following the acquisition the enlarged group will focus its resources on the manufacture, sale, distribution as well as the after sales technical service support of Medical products both in the UK and worldwide.  The enlarged group also will continue to develop more products in the area of critical care and continue to develop Inditherm’s patient warming products through continued investment in R&D and leveraging its relationships with the academic medical community to find and commercialise further innovative technologies and applications.

Country of Incorporation

The Company (Company number 03587944) was incorporated on 25 June 1998 in England and Wales under the name of PJO Industrial (Inditherm) Limited.  It changed its name to PJO (Inditherm) Limited on 30 July 1998 and to Inditherm plc upon admission to AIM on 7 December 2001. 

Following a reverse takeover by Inspiration Healthcare Limited, completed on 24 June 2015, Inditherm plc changed its name to Inspiration Healthcare Group plc and was re-admitted  to AIM.
